BYLAWS of NORTHERN CHAUTAUQUA SOCCER ASSOCIATION, INC.
Article i - organization, purpose, and powers

Name. The name of this organization shall be the Northern Chautauqua Soccer Association, Inc. (hereinafter "NCSA" or "Association"), a charitable corporation incorporated under the New York Not-for-Profit Corporation Law.

Purpose.

Mission. To provide an exceptional youth soccer experience structured to accommodate all levels of play commensurate with player ability and interest, and to promote a positive culture teaching life lessons to the NCSA community.

Vision. NCSA aspires to be an outstanding educational-athletic organization that provides quality development through exceptional coaching, promotes healthy lifestyles, and inspires sportsmanship.

Values. NCSA is guided by an emphasis on technical and tactical player development, physical fitness, psycho-social growth (teamwork and leadership), and a "Zero Tolerance" policy for inappropriate behavior by players, coaches, or spectators.

Powers. NCSA shall have all powers granted under New York State law to achieve its charitable purposes, including the acceptance of public and private contributions.

Fiscal Year. The fiscal year shall run from September 1 through August 31.

Affiliations. NCSA shall affiliate with the New York State West Youth Soccer Association (NYSWYSA), U.S. Youth Soccer (USYS), and the U.S. Soccer Federation (USSF). NCSA shall comply with all USSF SafeSport requirements and priority policies.
Article II — Executive Board

Governance. An Executive Board (the "Board") shall manage the affairs of the Association.

Composition and Term. The Board consists of the Officers plus three Delegates-at-Large. Terms are two years, beginning January 1.

Odd Years: President, Secretary, and one (1) Delegate-at-Large.

Even Years: Vice-President, Treasurer, and two (2) Delegates-at-Large.

Elections. Held at the Annual Meeting. A plurality of votes cast by members present elects the candidate. Vacancies between elections are filled by Presidential appointment, subject to Board approval, until the next annual election.

Financial Oversight. The Board shall not incur debt exceeding the Association’s net assets. All disbursements over $1,000 require two authorized signatures (typically Treasurer and President/VP). The Travel Soccer Committee Financial Coordinator maintains similar authority for travel-specific funds.
Article III — Officers and Duties

President. Chief Executive Officer; presides over meetings, appoints committee chairs, and oversees daily operations.

Vice-President. Performs duties of the President in their absence; chairs the Nominating Committee and supervises elections.

Secretary. Records minutes of all meetings; maintains corporate records and the current Bylaws; oversees distribution of rosters and player passes.

Treasurer. Custodian of funds; maintains detailed accounts; submits monthly financial reports; ensures the Association is properly insured and files required tax documentation.
Article IV — Meetings

Annual Meeting. Held in November for elections and general business. Members must be notified at least ten (10) days in advance.

Regular and Special Meetings. Regular meetings occur monthly or as set by the Board. Special meetings may be called by the President, a majority of the Board, or twenty (20) members.

Quorum. A simple majority of the Board members constitutes a quorum.

Remote Participation. Board members may participate in meetings via teleconference or video conferencing software, provided all participants can hear each other simultaneously. Such participation constitutes presence in person.

Action Without Meeting. Any action required or permitted to be taken by the Board may be taken without a meeting if all members of the Board consent in writing (including email) to the adoption of a resolution authorizing the action.
ARTICLE V — Membership and Conduct

Nondiscrimination. NCSA does not discriminate on the basis of race, color, religion, age, sex, sexual orientation, gender identity, disability, or national origin.

Eligibility. Membership is open to parents/guardians of active players, coaches, and administrators in good standing. Only members aged 18+ may vote.

Discipline and Due Process. The Board may suspend or expel any member for conduct detrimental to the Association.

The accused must receive written notice of charges at least five (5) days prior to a hearing.

The member has the right to present a defense and call witnesses.

Appeals shall follow the procedures outlined by NYSWYSA and USSF.

ARTICLE VI — Committees

Travel Soccer Committee (Concord FC). Manages competitive programs. Led by a Director of Travel appointed by the President.

House League Committee. Manages the recreational summer program.

Standing and Ad Hoc Committees. The Board may create committees (e.g., Discipline, Audit, Fundraising) as needed.

ARTICLE VII — Amendments
These Bylaws may be amended by a two-thirds vote of the Board at two consecutive meetings, or by a two-thirds voteof the membership present at the Annual Meeting. Notice of proposed changes must be provided at least ten (10) days prior.

ARTICLE VIII — Dissolution
Upon dissolution, after paying all liabilities, assets shall be distributed to one or more 501(c)(3) organizations (such as NYSWYSA) that support youth soccer, as determined by the Board.
